Merchant services ISOs and payment facilitators
Independent sales organizations and payment facilitators sign up small and mid-sized merchants to accept cards on behalf of a sponsor bank and processor. They earn a monthly residual, which is a share of the processing revenue from the merchants they bring in.

ActiveSponsor-backed platforms and public acquirers are buying ISOs and residual portfolios, and a long tail of small ISOs remains, but software-led payments are taking share from the classic ISO channel.
- Fragmentation
- High
- Large processors work with hundreds to thousands of resellers, and most ISOs and agents are small.
- Universe from a public registry
- Medium
- A card network's registry lists registered ISOs and payment facilitators but gives no size, volume or ownership data.
- Recurring revenue
- High
- Residuals are paid monthly from ongoing merchant processing, though attrition steadily erodes each portfolio.
- Change-of-control friction
- Medium
- There is usually no state license to transfer, but sponsor bank and processor consent and card network re-registration are needed.
- AI operating leverage
- Medium
- Underwriting, residual accounting and chargeback work are rule heavy, but back-office headcount is small next to commission-paid sales.
Our view. For change-of-control friction, High means harder to close.

Registry
Visa Global Registry of Service Providers. Lists third-party agents that acquirers have registered with Visa, filterable by type (ISO, payment facilitator), region and state. It does not show volume, merchant counts, ownership or sponsor bank, and sub-agents that sell under another ISO are generally not listed. Mastercard’s public list covers only PCI-validated service providers, so it is not a full ISO list.
The Nilson Report counted 34 million US in-store and online merchant locations that accepted cards at year-end 2024.
Diligence risks
The OCC calls chargebacks a significant credit risk to an acquirer's earnings and capital. The exposure becomes real when a merchant or ISO goes bankrupt.
Fragmentation
The Nilson Report ranked the 59 largest US merchant acquiring portfolios by 2025 purchase volume.

Revenue model
The OCC describes the ISO fee as a negotiated payment from the acquiring bank. It is often a percentage of the volume that the ISO's merchants bring to the bank.
A residual is what is left of processing revenue after interchange, network fees and processor costs, so it moves with merchant sales volume and pricing. The stream shrinks as merchants leave, which makes attrition the main driver of portfolio value.
Our view
Change of control
The OCC says a bank must have policies, procedures and controls in place before it accepts services from an ISO.
Most ISO agreements with processors and sponsor banks require their consent to a sale or assignment, and some limit when residuals vest or transfer. Buying residual rights as assets avoids an entity change of control, but the buyer does not get the sales team or merchant relationships unless they are contracted separately.

Where AI changes the cost base
Merchant underwriting is document heavy. Staff read applications, bank statements, processing histories and websites against bank and network rules, which suits AI-assisted review with a human sign-off.
Our view
Residual and agent commission accounting runs every month on processor statements and split rules. Rollups that combine many portfolios on different processors spend real labor reconciling these files.
Our view
Chargeback responses and network compliance evidence are rule-driven and repetitive. Sales labor is mostly paid by commission, so AI saves less there than in the back office.
