Terms of Service

1. Introduction

Welcome to MigrateForce, a product of Social Protocol Labs LLC ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, CLI tools, cloud API, web dashboard, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

To access certain features of the Services, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials and API keys
  • Accept responsibility for all activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account and use our Services.

3. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks
  • Interfere with or disrupt the integrity or performance of the Services
  • Upload or transmit viruses, malware, or other malicious code
  • Use the Services to transmit unsolicited communications (spam)
  • Reverse engineer, decompile, or disassemble the Services, except as permitted by applicable law
  • Use automated means (bots, scrapers) to access the Services without our prior written consent
  • Resell, sublicense, or redistribute the Services without authorization
  • Use the Services to build a competing product or service

We reserve the right to suspend or terminate your access for violations of this section.

4. Your Content and Data

You retain all rights to the content and data you provide to the Services, including OpenAPI specifications, configuration files, and generated MCP server code ("Your Content"). By using the Services, you grant us a limited license to process Your Content solely for the purpose of providing the Services to you.

You represent that you have the right to upload and share any content you provide, and that doing so does not violate any third-party rights or applicable law.

Local code generation: MCP server code is generated locally on your machine using our CLI tools. When you use the cloud API (via the --cloud flag), only metadata about your OpenAPI specification is transmitted to our servers for analysis. Generated code is never transmitted to or stored on our servers.

5. Intellectual Property

The Services, including all software, documentation, design, logos, and trademarks, are the property of Social Protocol Labs LLC and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.

Generated code: MCP server code generated by the Services from your OpenAPI specifications belongs to you. You are free to use, modify, distribute, and deploy the generated code without restriction.

Open-source components: Certain parts of our CLI tools and generated code may include open-source software governed by their respective licenses. These licenses are provided alongside the relevant components.

6. Data Processing

We process customer data in accordance with applicable privacy laws and maintain Data Processing Agreements (DPAs) with all sub-processors. Our data handling practices are described in detail in our Privacy Policy and Data Processing Agreement.

7. Payment Terms

Certain features of the Services may require payment. If you subscribe to a paid plan:

  • Fees are billed in advance on a recurring basis (monthly or annually)
  • All fees are non-refundable unless otherwise stated or required by law
  • We may change pricing with 30 days' advance notice
  • Failure to pay may result in suspension or termination of your account

8. Account Suspension and Termination

By you: You may terminate your account at any time by contacting us at legal@sociallabs.com. Upon termination, your right to use the Services ceases immediately.

By us: We may suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law.

Effect of termination: Upon termination, we will make your data available for export for 30 days. After this period, we may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will survive.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY GENERATED CODE, MIGRATION ANALYSIS, OR RECOMMENDATIONS PROVIDED BY THE SERVICES. YOU ARE RESPONSIBLE FOR REVIEWING AND TESTING ALL GENERATED CODE BEFORE DEPLOYING IT IN A PRODUCTION ENVIRONMENT.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Social Protocol Labs LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES (WHETHER INCURRED DIRECTLY OR INDIRECTLY), LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
  • ANY GENERATED CODE, ANALYSIS, OR RECOMMENDATIONS PROVIDED BY THE SERVICES
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Social Protocol Labs LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content or data provided to the Services
  • Your deployment of generated code in production environments

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Injunctive Relief: Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction for the protection of intellectual property rights or confidential information.

13. Beta and Early Access Services

Certain features of the Services may be designated as "Beta," "Early Access," "Preview," or similar ("Beta Services"). Beta Services are provided "as is" without any warranty or service level commitment. We may modify, suspend, or discontinue Beta Services at any time without notice or liability to you.

YOUR USE OF BETA SERVICES IS AT YOUR SOLE RISK. BETA SERVICES MAY CONTAIN BUGS, ERRORS, AND INCOMPATIBILITIES. WE MAKE NO WARRANTIES REGARDING THE RELIABILITY, AVAILABILITY, OR ACCURACY OF BETA SERVICES. THE LIMITATION OF LIABILITY IN SECTION 10 APPLIES WITH FULL FORCE TO BETA SERVICES.

Feedback you provide regarding Beta Services may be used by us without restriction or obligation to you. You agree not to disclose Beta Service features or performance information to third parties without our prior written consent.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, power outages, internet service provider failures, or third-party service outages.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page, updating the "Last Updated" date, and, where appropriate, notifying you by email. Your continued use of the Services after changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

16. General Provisions

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Social Protocol Labs LLC regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17. Governing Entity

MigrateForce is a product and service of Social Protocol Labs LLC, a limited liability company organized and existing under the laws of the State of Delaware. All references to "MigrateForce," "Company," "we," "our," or "us" in these Terms refer to Social Protocol Labs LLC.
